Terms of Service
Please read these Terms of Service carefully before using Nova. These terms constitute a legal agreement between you and Nova, Inc.
1.Acceptance of Terms
By creating an account or using Nova's API, playground, or website, you agree to these Terms of Service. If you are using Nova on behalf of an organization, you represent that you have authority to bind that organization to these terms. If you do not agree, do not use Nova.
2.Use of the Service
Nova grants you a limited, non-exclusive, non-transferable license to access and use the platform for lawful purposes. You may not resell or sublicense access to the Nova API without written permission. You are responsible for all activity that occurs under your account, including API key usage. You must keep your credentials secure and notify us immediately of any unauthorized access.
3.Acceptable Use
You agree not to use Nova to: generate content that is illegal, defamatory, or violates third-party rights; circumvent or attempt to bypass rate limits or security measures; reverse-engineer or extract model weights through the API; generate spam, phishing content, or malware; violate any applicable law or regulation. We reserve the right to suspend or terminate accounts that violate these policies without refund.
4.API Credits and Billing
Nova operates on a prepaid credit model. Credits are non-refundable except where required by law. Unused credits do not expire. We reserve the right to adjust model pricing with 7 days' notice. You are responsible for all charges incurred under your account, including charges from compromised API keys. Auto top-up, if enabled, will charge your payment method automatically when your balance falls below the configured threshold.
5.Intellectual Property
Nova and its licensors own all right, title, and interest in the Nova platform, including all software, design, and content. You retain ownership of any prompts you submit and any outputs you generate through the platform. By using Nova, you grant us a limited license to process your inputs and return outputs as necessary to operate the service.
6.Third-Party Models
Nova provides access to AI models operated by third parties (including but not limited to Anthropic, OpenAI, Google, and Black Forest Labs). Your use of these models is also subject to the terms of the respective model providers. Nova acts as a routing layer and is not the developer of the underlying models. We do not guarantee the accuracy, safety, or reliability of any model output.
7.Privacy
Our collection and use of personal information is governed by our Privacy Policy, incorporated into these terms by reference. In summary: we do not log or store your prompt content, and we do not use your inputs or outputs for model training.
8.Disclaimer of Warranties
Nova is provided "as is" and "as available." We expressly disclaim all warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components.
9.Limitation of Liability
To the fullest extent permitted by law, Nova's total liability to you for any claim arising from or related to these terms or the service shall not exceed the amount you paid to Nova in the 3 months preceding the claim. In no event shall Nova be liable for indirect, incidental, special, consequential, or punitive damages.
10.Modifications
We may modify these terms at any time. We will notify you of material changes by email or by posting a notice on the platform. Continued use of Nova after the effective date of any modification constitutes acceptance of the updated terms.
11.Governing Law
These terms are governed by the laws of the State of California, without regard to conflict of law principles. Any dispute arising from these terms shall be resolved by binding arbitration in San Francisco, California, except that either party may seek injunctive relief in any court of competent jurisdiction.
